This End User License Agreement and Terms of Service (the “Agreement”) governs your use of [App Name] (the “App”), which connects to Intuit QuickBooks and Google services to access, modify, and transfer data between these platforms. By installing, accessing, or using the App, you agree to be bound by this Agreement. If you do not agree, do not use the App.
1. License Grant
- We grant you a limited, non-exclusive, non-transferable, revocable license to use the App solely for your internal business purposes.
- You may not sublicense, resell, or otherwise distribute the App without our prior written consent.
2. Data Access and Usage
- The App requires access to your QuickBooks Online and Google account(s) to function. By using the App, you authorize it to read, modify, and write data to these platforms.
- You remain the owner of all data retrieved from or entered into QuickBooks and Google through the App.
- We do not claim ownership of your financial or business data.
3. User Responsibilities
You agree to:
- Provide accurate account credentials and maintain the security of your login information.
- Ensure you have the legal right to authorize the App to access and modify your QuickBooks and Google data.
- Use the App only in compliance with applicable laws, regulations, and third-party terms (including Intuit’s and Google’s).
4. Third-Party Services
- The App relies on third-party services (Intuit QuickBooks, Google APIs). Use of these services is governed by their respective terms of service.
- We are not responsible for downtime, errors, or data loss caused by these third-party services.
5. Data Security and Privacy
- We take reasonable measures to protect your data. However, you acknowledge that no system is completely secure.
- By using the App, you consent to our collection, use, and processing of your data in accordance with our Privacy Policy.
6. Restrictions
You agree not to:
- Reverse engineer, decompile, or disassemble the App.
- Circumvent or attempt to bypass security or authentication measures.
- Use the App to engage in unlawful, fraudulent, or harmful activities.
7. Disclaimer of Warranties
The App is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
8. Limitation of Liability
To the maximum extent permitted by law:
- We shall not be liable for any indirect, incidental, consequential, or special damages, including loss of data, business interruption, or financial losses arising from use of the App.
- Our total liability to you for any claim shall not exceed the fees (if any) paid by you for use of the App in the 12 months preceding the claim.
9. Termination
- You may stop using the App at any time.
- We may suspend or terminate your access to the App at our discretion if you violate this Agreement.
- Upon termination, your rights under this Agreement will immediately cease.
10. Changes to This Agreement
We reserve the right to update or modify this Agreement at any time. Continued use of the App after changes are posted constitutes acceptance of the revised terms.
11. Governing Law
This Agreement will be governed by and construed in accordance with the laws of New York, without regard to conflict of law principles.
